PROGRAM LICENSE AGREEMENT

THE FOLLOWING TERMS GOVERN YOUR USE OF THE PROGRAMS. READ THEM CAREFULLY BEFORE OPENING THE DISKETTE PACKAGE. OPENING THE DISKETTE PACKAGE INDICATES YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH THEM, PROMPTLY RETURN THE UNOPENED DISK PACKAGE AND THE OTHER ITEMS AND YOUR MONEY WILL BE REFUNDED. For monetary consideration received, LPI Information Systems provides the program and licenses its use in the United States and foreign countries. It is your responsibility to verify that the results obtained with the program are suitable for your intended use, are accurate, and conform with all applicable laws in effect on the date of actual use.

LICENSE

You may:

  1. 1. Use the program at a single location. Use on multiple computers or a network at a single location is allowed.
  2. 2. Make a reasonable number of copies of the program for backup or archival purposes either in machine-readable media or in printed form.
  3. 3. Modify the program or merge all or part of it into other programs for your own use at a single location. Any modified versions of this program or any other program which contains any part of this program will continue to be subject to the terms and conditions of this license.
  4. 4. Transfer the program and license to another person if the other person agrees to accept the terms and conditions of this license. If you transfer the program, you must transfer all copies of the program, the owner's manual, and the license and copyright statements to the other person, or destroy all copies not transferred. This applies equally to any modified programs which may contain part of the licensed program.

YOU MAY NOT USE, COPY, MODIFY, OR TRANSFER THE PROGRAM, ANY PART THEREOF, OR ANY MODIFIED VERSION EXCEPT AS PROVIDED ABOVE. IF YOU TRANSFER THE PROGRAM, ANY MODIFICATION, OR ANY PART THEREOF TO ANOTHER PERSON, YOUR LICENSE IS AUTOMATICALLY TERMINATED. YOU MAY TERMINATE THIS LICENSE AT ANY TIME BY DESTROYING ALL COPIES OF THE PROGRAM, INCLUDING MODIFICATIONS AND MERGED PORTIONS IN ANY FORM. LPI INFORMATION SYSTEMS MAY ALSO TERMINATE YOUR LICENSE IF YOU FAIL TO ABIDE BY THE TERMS OF THE LICENSE OR FAIL TO PAY THE PROGRAM LICENSE FEE, IN WHICH CASE YOU AGREE TO DESTROY ALL COPIES AS ABOVE. Unauthorized transfer or copying of copyrighted material is a violation of copyright law and may subject you to legal action.


LIMITED WARRANTY

The program, as delivered, is believed to perform as described in the manual and supplementary documentation. If the program should fail to perform according to the written specifications existing on the original date of shipment, LPI Information Systems will correct the problem without charge to the license holder when the original program diskettes are delivered to LPI Information System's offices with a complete description of the problem. In order to obtain service under the warranty, you must submit evidence that you are the legal license holder of the serialized program by providing a copy of your purchase receipt showing you as the original purchaser or a purchaser from a legal license holder. Shipping costs, if any shall be paid by the license holder. This warranty shall expire one year from the date of original purchase.

It is your responsibility to determine whether or not the program meets your requirements before purchase and to assure that any results obtained by using the program are accurate. Some programs may become obsolete as a result of changes in tax laws and government requirements and must be modified to remain in compliance. It is your responsibility to make or obtain such modifications when required and to assure that all results conform with laws in effect on the actual date of use.

Because LPI Information Systems has no control over the way in which the programs are used, the way in which they may be maintained or modified, or the condition of the computer equipment with which they are used, LPI Information Systems does not warrant that the programs will produce accurate results.

THIS WARRANTY SHALL BE VOID IF THE PROGRAM IS MODIFIED IN ANY WAY BY THE LICENSE HOLDER OR ANY THIRD PARTY.

OTHER THAN THE CORRECTION OF ERRORS IN AN UNMODIFIED PROGRAM, LPI INFORMATION SYSTEMS ACCEPTS NO LIABILITY FOR THE OPERATION OR FAILURE OF OPERATION OF ANY COMPUTER PROGRAM. UNDER NO CIRCUMSTANCES WILL LPI INFORMATION SYSTEMS OR ANY OF ITS OFFICERS OR EMPLOYEES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES, INCLUDING INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF THE PROGRAM. IN ANY CASE, LPI INFORMATION SYSTEMS' LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE OF THE SOFTWARE.

PAYROLL SOFTWARE IS NOT CLASSIFIED AS A "CONSUMER PRODUCT" AND LAWS GOVERNING CONSUMER PRODUCT WARRANTIES DO NOT APPLY. This warranty gives you specific legal rights which vary from state to state.
